SDA Strategic Divestment Advisory

Know where you stand. Decide what comes next.

Should you hold, improve, reposition or sell your SDA assets? We help owners, boards, lenders and appointed advisers assess the commercial position of an SDA property or portfolio, compare realistic options and determine a practical way forward. The starting point is your situation, not an assumption that selling is the right answer.

Before you choose an exit, understand your options.

A decision about SDA property can involve more than an expected sale price. You may need to understand why income is below expectations, whether further expenditure is justified, what a buyer would need to see, or whether holding the asset is a credible alternative to selling. Our advisory service brings these questions together in a structured commercial assessment. We examine the available evidence, make assumptions explicit and identify the decisions that matter most. The outcome is a clearer basis for action, not simply another opinion on what the property might be worth.

For decisions that need more than a market appraisal.

Owners and developers reviewing their next move

You may be considering an exit, facing ongoing vacancy, reviewing your portfolio or deciding whether to commit more capital. We help assess the options before further time or money is invested.

Boards and property-owning organisations

You may need a documented basis for retaining, repositioning or divesting property holdings. We help clarify the commercial implications, the evidence gaps and the practical steps associated with each pathway.

Lenders, receivers and administrators

You may need an SDA-specific view of an asset's performance, marketability and potential disposal options. We provide commercial property support alongside the appointed professional team.

We assess the factors that shape the decision.

Actual income and operating performance

We review the available income records, occupancy information and operating costs to understand the current position. Actual receipts are distinguished from projected income, funding assumptions and fully occupied scenarios.

Local market conditions

We examine relevant demand evidence, competing accommodation and the provider environment. The purpose is to assess the asset in its own market, not to assume that national SDA demand translates into local occupancy.

Provider and property arrangements

We review the commercial implications of available leases, management agreements, fees and operating arrangements. Matters requiring legal interpretation are identified for review by your legal advisers.

Saleability and buyer requirements

We consider how a prospective buyer may assess the asset, which uncertainties could affect an offer and what information or preparation may be needed before approaching the market.

Holding, improvement and exit scenarios

We compare relevant pathways using explicit assumptions about timing, costs, income and execution risk. Where appropriate, this may include considering alternative-use potential, subject to planning, legal and valuation advice.

A commercial recommendation you can act on.

The scope is tailored to the decision you need to make. Depending on the engagement, your written advice may include:

01

A clear assessment of the current position

A consolidated view of the asset or portfolio, its documented performance, material commercial risks and outstanding information requirements.

02

A comparison of realistic options

An assessment of the relevant pathways, including the assumptions, costs, timing considerations and dependencies associated with each.

03

A recommended course of action

A reasoned recommendation explaining what should happen next, why that pathway is preferred and what could change the conclusion.

04

A practical implementation roadmap

Prioritised actions, further information requirements and the specialist input needed to progress the recommendation. Where a sale is appropriate, this can include a sale-readiness plan and recommended approach to market.

The recommendation may be to sell. It may also be to wait.

An immediate sale is one possible outcome, not the default. The assessment may support retaining an asset, addressing specific operating issues, preparing for a later exit, selling selected properties or undertaking a broader divestment. We explain the conditions each option depends on. Where a strategy relies on improved occupancy, additional funding, renegotiated agreements or further capital, those dependencies are made clear rather than presented as assured outcomes. The objective is to help you make a defensible commercial decision with a realistic understanding of the trade-offs.

Specialist property insight for complex or time-sensitive situations.

For lenders, receivers, administrators and restructuring advisers, our role is to help establish what the SDA asset represents commercially, and what the available pathways may involve. This can include reviewing the information needed to assess a disposal, considering immediate sale against a holding or stabilisation scenario, and identifying property-specific issues that may affect timing or buyer interest. We work alongside the appointed insolvency practitioners, legal advisers, valuers and operational providers. Our contribution is SDA-focused commercial property assessment and, where separately appointed, sale execution. Any proposed transition should also account for existing residents and operating arrangements, with the appropriate providers and advisers involved.

A defined advisory engagement, not a commitment to sell.

We agree the scope, fees, information requirements and deliverables before work begins. The advisory engagement is designed to stand on its own. You receive the agreed assessment and recommendations without being required to proceed with a sale through SDAHC. Where a sale is recommended and you wish to appoint us, the transaction mandate and its terms are agreed separately.

Common questions about SDA advisory.

Is this service only for distressed or underperforming assets?

No. It is also relevant to owners of performing assets who are considering capital recycling, portfolio changes or a planned exit. The service is driven by the decision required, not only by financial pressure.

Is this a formal property valuation?

No. Our work provides commercial assessment, market positioning and strategic advice within the agreed scope. A formal valuation, legal opinion, tax advice or insolvency advice must be provided by the appropriately qualified professional.

Can SDAHC help implement the recommendation?

Where agreed, we can assist with sale preparation, coordinate relevant specialist input and manage a subsequent sales process under a separate mandate. Operational, legal and funding-related actions remain with the appropriate providers and advisers.

Before committing to a sale, or more capital, get a clearer commercial picture.

Tell us about your property or portfolio, the decision you are facing and any timing constraints. We will discuss an advisory scope suited to the situation.
